What is United Company RUSAL?

United Company RUSAL is the world’s largest aluminium and alumina producer, created in March 2007 following the merger of RUSAL, SUAL and Glencore’s alumina assets. United Company RUSAL accounts for 12% of global primary aluminium market and 15% of alumina production. The Company owns 15 aluminium smelters, 12 alumina refineries, 7 bauxites mines, 3 foil mills, 2 cathode plants, and employs 100,000 people.

What is the range of products of the United Company?

The Company’s assets include bauxite and nepheline mines (a hard variety of Russian bauxite), and alumina refineries. This serves as a base to produce aluminium, alloys, foils and packaging materials. The Company also manages a number of power plants.

Who are the Company’s shareholders?

Under the merger terms, En+ Group owns a 56.76% stake in the United Company, SUAL's shareholders hold 18.92%, ONEXIM holds 14%, and Glencore holds the remaining 10.32%.

What is the Company’s management structure like?

United Company RUSAL is organised on a divisional basis, where different business areas create independent business units that have their own functional structure. Hence the Company incorporates six divisions, responsible for different businesses such as Aluminium Division, Alumina Division, Packaging Divisions, Raw Materials Division, Engineering & Construction Division and Energy Division.

What are the competitive advantages of United Company RUSAL?

United Company RUSAL will from now on be the world’s new leader in the aluminium industry. Its distinctive features are well-balanced raw material and production assets, state-of-the-art technology,  highly efficient production and access to cheap sources of energy. A tremendous synergy effect will occur as a result of the merger. The Company will thus integrate vast aluminium smelting capacities, alumina production sites in the Russian Urals and in other parts of the world, cutting-edge technology and the financial power of all the three companies.

Does the Company plan to undertake an IPO?

United Company RUSAL plans to undertake an IPO till the end of 2009 but the final decision will depend upon the situation on the financial markets.

What is the Company’s plan to create a corporate governance system?

The roadmap includes a set of actions which aim to develop standards for corporate governance that would meet the best global practices. These standards will highlight the Company’s adherence to openness and the highest business principles. The plan includes:

  • Adoption of the Corporate Governance Code and other necessary regulatory documents
  • Appointment of independent directors
  • Establishment of independent committees
  • Development of payment and remuneration policy for senior managers.

Why doesn’t the Company publish the results of its financial audits?

United Company RUSAL publishes its financial reports in compliance with US GAAP Standards. The audit is carried out every year by one of the ‘Big Four’ international auditing companies. As a private company, we do not publish our profit statements, but our shareholders, creditors and partners have access to this confidential information.

How do you imagine United Company RUSAL in the future?

Significant opportunities for development have arisen thanks to the merger: access to new markets, development of relations with new customers and business partners, self-sufficiency in raw materials – everything that is essential to successfully implement our growth strategy. We will create a diversified power and metals company, which uses the experience of each and every employee, our hydraulic power resources, production facilities and the raw materials base. We will strengthen our presence in the global market by offering high quality products, as demand continually increases in line with our future expansion.
